We're seeking a seasoned professional to join our team as a Governance and Compliance Specialist. In this role, you'll be responsible for ensuring our company complies with all applicable laws, regulations, and internal policies.

Key Responsibilities:
  • Draft, review, and maintain corporate governance documents including resolutions, by-laws, board minutes, and filings.
  • Provide clear, actionable guidance on corporate structure, tax intersections, and jurisdictional considerations.

In addition to these key responsibilities, you'll also be tasked with drafting, reviewing, and negotiating commercial contracts, managing contract lifecycles, and providing strategic advice on resolving disputes efficiently.

Requirements:
  • A minimum of 5 years of experience in governance and compliance, preferably in a similar role.
  • Prior work in startups, BPOs, legal services, or international firms would be highly valued.
  • Experience in contract management, cross-border documentation, or research-heavy roles would be a plus.

The ideal candidate will possess excellent analytical and communication skills, with the ability to think critically and creatively. They should be self-motivated, proactive, and able to work effectively in a fast-paced environment.
