Overview The Assistant Vice President (AVP) for Legal & Compliance is responsible for planning, leading and guiding all functions related to legal and compliance for Aboitiz Renewables, Inc. (ARI) Corp and Aboitiz Renewables, Inc. (ARI) Business Units. The position holder develops and implements strategies and manages the day-to-day operations pertaining to all functions of the Legal & Compliance Team. Responsibilities Planning and Policy Development Strategy Development – collaborate in the development of the medium to long-term strategic action plans of the Legal & Compliance Team (the “Strategic Plans”) in line with and to help achieve the strategic objectives of Aboitiz Renewables, Inc. (ARI). Implement and Monitor Strategic Plans – implement and monitor the implementation of the Strategic Plans; ensure that the Strategic Plans are fully cascaded to, understood and implemented by each Legal & Compliance team member. Evaluation and Revisions of Strategic Plans – evaluate the implementation of Strategic Plans to assess effectivity and efficiency, and to revise and/or improve the same as necessary, to ensure the Strategic Plans remain effective amidst the changing business environment. Future Proofing – the AVP for Legal & Compliance should be able to: Anticipate emerging trends within scope of responsibility; Advise ARI and/or other relevant departments of these emerging trends; Provide timely recommendations on how to address emerging issues Risk Identification, Planning and Management – the AVP for Legal & Compliance should be able to: Identify significant legal and compliance risks; Collaboratively develop and implement strategies to resolve and/or mitigate these risks; Provide timely advice and recommendations to team leaders and other departments; Ensure the rest of the Legal & Compliance team understands risks and how to address them within their scopes of work. Policy Development – the AVP for Legal & Compliance shall: Stay abreast of existing and new relevant legislation and propose revisions within scope of work. Attend public consultations by relevant government agencies and regulators, and provide relevant comments to policy matters in a manner that protects ARI interests. 2. Legal and Compliance – The AVP for Legal & Compliance shall: Develop strategies, processes and protocols to ensure timely compliance with laws, policies, guidelines and standards that affect ARI and its Business Units (BU) and projects. Lead in ensuring timely compliance with existing contracts and agreements; Lead in regular audits of compliance and legal requirements of ARI and ARI BUs, provide legal analysis and advice on various issues including energy, corporate, safety, health & environment, labor, land, contracts, and alignment with ARI business objectives. Develop, implement and supervise a database for contract, document and compliance management. Develop and maintain a register of ARI’s key legal and compliance issues. Develop an effective strategy for managing the Legal & Compliance team’s stakeholders. Lead drafting and regular review of opinions, pleadings, contracts, and documents for ARI projects, including but not limited to opinions, memoranda, land contracts, etc. Lead negotiations with stakeholders to discuss and resolve legal & compliance issues as needed. 3. People Management Manage performance of personnel and processes to attain targets; implement corrective actions when targets are not achieved. Foster a culture of excellence, competence and teamwork aligned with the company’s mission and values. Review training needs and approve programs to ensure team members grow and perform effectively; provide tools for success. Motivate and empower the Legal & Compliance team to make decisions at appropriate levels. 4. Other Related Tasks – Ensure the Legal & Compliance team conforms to Integrated Management Systems, policies, standards, procedures and guidelines; ensure processes deliver intended outputs; promote customer focus; maintain integrity and quality management during system changes; assign and communicate responsibilities aligned with international standards; report any events or risks; protect information assets; oversee administrative matters including budget, tools and performance evaluations; perform other duties as assigned. Qualifications Education : Bachelor’s Degree in Law, Business Administration, or a related field Licensure : Must be a Philippine Bar passer. Experience : Minimum of 10 years of legal experience with focus on compliance and regulatory matters, preferably in the energy sector. Leadership : At least 10 years in a management role with demonstrated team leadership. Government Engagement : Exposure to working with government agencies and stakeholders in the energy sector (e.g., NCIP, DENR, LGUs, DOE, ERC, NGCP). Project Management : Solid knowledge of project management; history of overseeing complex legal projects from start to finish. Regulatory Expertise : Understanding of regulatory frameworks and compliance requirements in the energy industry. #J-18808-Ljbffr
