Job Summary

We are seeking a proactive and meticulous Senior Legal Counsel to join our Legal and Compliance team. This pivotal role requires deep expertise in Philippine securities law and the ability to deliver high-quality legal support across the firm's operations. The successful candidate will collaborate closely with regional legal colleagues and the finance team to ensure regulatory compliance, provide strategic counsel for mergers and acquisitions, and support the firm's broader business objectives.

Key Responsibilities

Legal Advice and Support

  1. Serve as the primary expert on Philippine laws, keeping the regional legal team informed of local regulatory developments and updates.
  2. Provide authoritative compliance advice on transactions involving Philippine entities or jurisdictions.
  3. Offer comprehensive legal guidance on corporate governance, regulatory matters, contract management, and other business-critical areas.
  4. Coordinate with external counsel as needed for transactional support or dispute resolution.
  5. Draft, review, and negotiate contracts, agreements, and legal documents with precision and efficiency.
  6. Conduct thorough legal research and analysis to inform strategic decision-making and business activities.

Regulatory Compliance

  1. Ensure adherence to Philippine securities laws, including the Securities Regulation Code, and relevant regulations in other jurisdictions where the firm operates.
  2. Act as the firm's liaison with regulatory bodies, overseeing filings, submissions, and compliance obligations.
  3. Design and implement robust compliance policies and procedures to minimize legal risks.

Corporate Governance

  1. Maintain accurate corporate records and ensure compliance with governance standards under Philippine law.
  2. Support board meeting preparation, including drafting minutes, resolutions, and related documentation.
  3. Oversee timely statutory filings for Philippine entities in accordance with applicable regulations.
  4. Identify and evaluate legal risks tied to the firm's operations and investment activities.
  5. Advise on risk mitigation strategies and promote effective risk management practices across the organization.

Training and Development

  1. Develop and deliver targeted training programs on legal and compliance topics for employees.
  2. Monitor evolving securities laws and regulations, ensuring timely updates are communicated to the legal team and key stakeholders.

Qualifications

  1. Juris Doctor (J.D.) or equivalent law degree from a reputable institution; admission to the Philippine Bar is strongly preferred.
  2. At least 5 years of legal experience, ideally in financial services, investment management, or a related field.
  3. In-depth knowledge of Philippine securities law, including the Securities Regulation Code and regulations enforced by the Securities and Exchange Commission (SEC).
  4. Exceptional legal research, analytical, and problem-solving abilities.
  5. Proven expertise in drafting, negotiation, and clear communication (both written and verbal).
  6. Ability to thrive independently and as part of a collaborative team.
