Position: Head of Legal Work setup: Full Time, Onsite Location: Taguig City, Philippines Salary: PHP 100,000 - 150,000

Overview

We are seeking a highly skilled and experienced Corporate Lawyer to lead the Legal Department of a financing company in the Philippines. The Legal Officer will ensure compliance with applicable laws, government regulations, and industry standards, and will oversee review, negotiation, and facilitation of contracts and legal documents to safeguard the company’s interests and support business operations.

Key Responsibilities
  • Legal Compliance & Regulation: Monitor, interpret, and provide strategic guidance on applicable laws, regulations, and best practices affecting the financing sector in the Philippines; stay abreast of changes from agencies such as SEC, BSP, and AMLC; advise senior management on legal impact and recommend policy or procedural adjustments.
  • Contract Management & Negotiation: Lead review, drafting, and negotiation of contracts (e.g., loan agreements, investment contracts, vendor contracts, partnerships); ensure contracts are legally sound and compliant; manage dispute resolution including litigation, arbitration, or settlements related to contracts.
  • Corporate Governance: Support Board and management on governance matters; assist in shareholder meetings, board resolutions, and corporate filings; develop and enforce internal legal policies and compliance with governance principles.
  • Risk Management: Identify legal risks and propose mitigation strategies; advise on legal implications of business strategies, financial products, and transactions; collaborate with Finance and Operations to address risks in business plans.
  • Legal Support for Operations: Provide legal counsel on mergers & acquisitions, corporate restructuring, financing arrangements, and regulatory filings; review/draft/negotiate loan documentation; ensure compliance with data privacy, consumer protection, and other relevant regulations.
  • Leadership & Department Management: Lead and mentor the Legal Department; coordinate with external counsel as needed; set departmental objectives, manage budget, and improve legal processes and efficiency.
Qualifications
  • Bachelor of Laws (LL.B.) from a recognized institution.
  • Licensed to practice law in the Philippines (Attorney-at-Law).
  • 3–5 years (or more) of experience as a corporate lawyer, with exposure to the financing or banking industry.
  • Proven track record in managing legal teams, negotiating contracts, and handling complex legal matters.
  • In-depth knowledge of Philippine corporate laws, banking and finance regulations, and related government policies.
  • Experience working with government agencies (e.g., SEC, BSP, AMLC) and other regulatory bodies.

  • Ability to work under pressure and manage multiple projects.
  • Excellent negotiation skills and attention to detail.
