Corporate Governance · Prepare and maintain accurate minutes of Board of Directors meetings, Stockholders' meetings, and other key corporate meetings. · Ensure compliance with statutory requirements, such as filing the General Information Sheet (GIS) and other corporate filings with the Securities and Exchange Commission (SEC). · Assist in drafting and maintaining corporate resolutions, policies, and other governance-related documents. · Assists in preparing materials related to tasks or assignments handled by the Corporate Secretary / Legal head particularly in support of Board and committee meetings, including recording the proceedings. · Notifies scheduled Board or committee meetings and provides instructions to submit items for inclusion in the meeting agenda. · Prepares meeting minutes, agendas, secretary's certificates, and other related documents. · Ensures proper safekeeping and organization of files related to Board Meetings and Management Committee Meetings. QUALIFICATIONS: 1) Familiarity with Philippine banking laws and regulations, including BSP guidelines, is a plus. 2) Proficiency in Microsoft Office applications and legal management software.3) Strong written and verbal communication skills in English and Filipino. 4) High level of organizational skills and attention to detail. 5) Ability to work independently and manage multiple tasks efficiently
