In-House Lawyer

Solana Creatives Inc. is a growth-oriented advertising agency, established in September 2023. We deliver creative, digital, and marketing solutions — with a substantial portion of our clients in the fintech sector. As our operations expand in marketing campaigns, fintech-related promotions, and digital media, we need a dedicated legal resource to support compliance, risk management, content/legal review, and corporate legal functions.

Position Overview

The In-House Lawyer will act as the primary legal adviser to the company. This person will operate remotely but must be responsive and available to review contracts, advertising materials, fintech-client campaigns, and corporate/legal documents on demand. The role includes contract management, regulatory/compliance advice, intellectual property oversight, advertising-compliance review, and occasional coordination with external counsel as needed.

Key Responsibilities

• Draft, review, and negotiate contracts: client service agreements, vendor contracts, NDAs, partnership agreements, licensing agreements, talent/endorsement contracts, and fintech-client agreements.
• Review marketing materials, advertisements, promotional campaigns, influencer contracts, fintech-related content or communications to ensure compliance with Philippine laws, advertising regulations, data privacy, and industry-specific rules.
• Provide legal advice on regulatory compliance — including advertising, fintech, consumer protection, data privacy (e.g., under the Data Privacy Act), and other relevant Philippine regulatory frameworks.
• Manage intellectual property matters: copyrights, trademarks, licensing, rights clearance for creative content and digital assets.
• Offer general corporate legal support: corporate governance, board/management resolutions, company policy drafting, compliance documentation, and coordination for external legal matters when needed.
• Provide timely legal guidance when required; be available for consultations — via remote communication or occasional in-person meetings — to support business operations, new client onboarding, campaign roll-outs, and partnership negotiations.

Qualifications (Philippines-Based Standards)

Required

• Bachelor of Laws (LLB or JD) from a recognized Philippine law school.
• Active and in-good-standing membership in the Integrated Bar of the Philippines (IBP), with license to practice law in the Philippines.
• Minimum of 3–7 years legal experience, ideally involving corporate law, contract negotiation, advertising/marketing law, digital media law, fintech or financial services clients, or a combination thereof.
• Demonstrated experience with advertising or marketing law: review of advertising/marketing campaigns, promotional materials, influencer or endorsement agreements, claims/substantiation/compliance.
• Knowledge of relevant Philippine laws and regulations: consumer protection, data privacy, fintech-related regulatory frameworks, intellectual property, as well as general corporate and contract law.
• Strong contract drafting and negotiation skills.
• Ability to communicate legal concepts clearly to non-legal (creative/marketing) teams.
• High level of professionalism, reliability, and responsiveness — given remote/on-call setup.

Preferred

• Prior in-house or agency-side experience (advertising agency, marketing firm, creative/digital media company, or fintech-related company).
• Experience working with fintech clients or financial services marketing/compliance.
• Familiarity with intellectual property registration processes (e.g., with the Intellectual Property Office of the Philippines, IPOPHL).
• Experience coordinating with external counsel, or managing outsourced legal services.
• Comfort working remotely, excellent self-management, and ability to respond quickly when needed.

Work Setup & Reporting Structure

• The In-House Lawyer will operate remotely; work hours are flexible but must be responsive during business hours or as needed for urgent legal matters.
• Primary mode of communication: remote (email, phone, messaging, video calls).
• On-call availability for contract reviews, legal advice, compliance checks, and support during major corporate or client events (e.g., contract signings, campaign launches, partnerships).
• Occasional in-person attendance may be required (for critical meetings, corporate governance sessions, or client engagements).
