Job DescriptionThe Legal Counsel shall manage the labor litigation and legal review of contracts of the organization. Assists in the maintenance of Code of Corporate Governance and acts as the assistant corporate secretary to the management committee. The function reports directly to the AVP & Head of Legal Counsel Department. The legal counsel also is a subject-matter expert in a field of expertise in any of the following: contract drafting and review, corporate law, mergers & acquisitions, joint ventures, labor law, taxation, intellectual property patents, international law, and other relevant law expertise. Duties and ResponsibilitiesBusiness EnablingUnderstands the general business objectives and key strategies of Primer. Formulates and delivers the necessary legal counsel services to support the business objectives and key strategies. Reviews and develops Group-wide company policies, inter-company protocols, and positions on legal issues. General ManagementLegal review of existing contracts, agreements and documents particularly those for renewal or renegotiation. Maintains close coordination with the human resources department as far as industrial relations and issues are concerned. Represents the Group with labor regulatory agencies and the courts on labor cases. Maintains a legal and regulatory documents center, which shall be the repository of all contracts, agreements and documents reviewed. Coordinates legal inquiries among the companies in the group to avoid duplication. Acts as assistant Corporate Compliance Officer and member of the Corporate Governance Team. Responsible for reportorial requirements on this end. Maintains a Code of Corporate Governance which shall be the norm of best practice and ethical behavior. Acts as assistant corporate secretary to assist in the general corporate housekeeping of the Primer Group of Companies. Legal Counsel ServicesAttends hearings of cases filed by or against any Primer Group company and which are not farmed out to Retainer Law Firms. QualificationsGraduate of Law and a current member in good standing of the Integrated Bar of the Philippines. Exceptional understanding and knowledge of Philippine laws and jurisprudence. Must have outstanding integrity, solid moral judgments, and the ability to make important decisions under pressure. Has at least 5 years of general law practice, two to three years of which are relevant to the corporate setting and experience in labor litigation. Have a strong verbal and written communication skills; able to communicate in a clear, constructive, and professional manner. Knowledgeable in Labor Litigation, Corporate Accounts, Intellectual Property and Taxation. Good interpersonal and time management skills. Strong negotiation skills.
