The In-House Counsel shall provide legal services and support to UCPB-CIIF Finance and Development Corporation and UCPB-CIIF Foundation, Inc. covering the following areas:

  • Provide legal opinions and advice to the Corporation and Foundation on various legal matters related to its business activities, operations, and corporate governance.

  • Offer advice in writing, by phone, email, or in person, within reasonable working hours, unless the matter requires immediate attention.

  • Review, revise, and draft contracts, legal documents, and internal company forms.

  • Provide legal guidance on contract terms, ensuring they meet legal requirements and are aligned with the Corporation and Foundation's objectives.

  • Review and provide recommendations on possible revisions pertaining to Employee Manual and other Operating Manuals for the Corporation and Foundation.

  • Review, revise, and prepare notices, memoranda, demand letters, and other legal letters or documents with legal implications, as necessary.

  • Ensure compliance with regulatory requirements by preparing and submitting necessary reports to government agencies.

  • Be in charge of notarization of legal documents as may be required, charged to the account of CocoFinance and/or CocoFoundation.

  • Be available to meet with the employees to discuss legal matters, provide contract review, legal assistance, and address questions related to ongoing business activities.

  • Advise senior management on matters related to corporate governance, internal policies, and regulatory compliance.

  • Assist in identifying and mitigating potential legal risks associated with business operations.

  • Be the main legal counsel of the Corporation and Foundation and handle legal cases as needed. However, depending on the severity of the case and if necessary, coordinate and engage external counsel for further action and for specialized matters or cases that require additional expertise or resources, maintaining the best interests of the Corporation and Foundation.

  • Support the Corporation and Foundation in managing legal disputes, litigation, and other legal proceedings.

  • Represent the Corporation and Foundation in legal matters requiring in-person appearance, including but not limited to hearings, negotiations, meetings with regulatory bodies, or legal proceedings, where representation is required by law or deemed necessary by the Corporation and Foundation (all subject to agreed legal fees).

  • Provide legal assistance on other matters as required by the Corporation and Foundation, including special legal projects, due diligence, or any issues that may arise in the ordinary course of business.

Candidates must possess a minimum of 1-2 years of legal experience.

Admission to the Philippine bar is required for this position.
