
In-House Legal Counsel

The In-House Legal Counsel provides expert legal advice and support to the company to ensure compliance with applicable laws and regulations. The role safeguards the company's interests by drafting, reviewing, and negotiating contracts, managing legal risks, handling disputes, and advising management on corporate governance, regulatory compliance, employment, and property-related matters. The Counsel also plays a key role in overseeing raw land titling and property documentation to protect the company's real estate investments.
Key Responsibilities:
1. Legal Advisory & Compliance
- Provide timely and accurate legal advice to management and business units.
- Ensure compliance with all applicable laws, government regulations, and industry standards.
- Monitor legislative and regulatory changes and assess their potential impact on the company.
2. Contract Management
- Draft, review, and negotiate contracts, agreements, memoranda of understanding, and other legal documents.
- Ensure that contracts safeguard the company's rights and limit exposure to risks.
3. Litigation & Dispute Resolution
- Represent or coordinate with external counsel in handling disputes, litigation, arbitration, and regulatory proceedings.
- Manage pre-litigation strategies and settlement negotiations.
4. Corporate Governance
- Support the Board of Directors and Corporate Secretary in preparing board resolutions, minutes, and other governance documents.
- Ensure compliance with corporate filing requirements and legal documentation.
5. Employment & Labor Matters
- Advise HR on labor laws, employment contracts, company policies, and employee disputes.
- Ensure that disciplinary actions and terminations comply with labor laws and due process.
6. Risk Management
- Identify, evaluate, and mitigate potential legal risks in company operations.
- Develop and implement policies to minimize legal exposure.
7. Property & Land Titling
- Oversee the due diligence process in the acquisition of raw lands, ensuring legal and clean titles.
- Coordinate with government agencies (e.g., DENR, DAR, ROD, LGUs) for land conversion, reclassification, and titling requirements.
- Ensure timely processing of land titles, tax declarations, and related documents.
- Handle legal issues involving property rights, easements, boundary disputes, and land claims.
- Monitor compliance with real estate, housing, and subdivision regulations, including HLURB/DSHUD and other regulatory bodies.
