I. Key Responsibilities

Board Support and Assistance

  1. Provide continuous support and assistance on all matters delegated by the Board and Board Committees in the performance of their functions as directors of the Company and its subsidiaries.
  2. Assist in handling investor inquiries, organizing investor roadshows, and monitor market and media sentiment.
  3. Participate in communication and disclosure arrangements related to capital operations, financing, and M&A activities.
  4. Assist in organizing and preparing materials for meetings of the Board of Directors and Board Committees.
  5. Follow up on the implementation of the Board and Board Committee resolutions, and coordinate implementation across departments.
  6. Provide support and information for directors, supervisors, and senior executives in performing their duties.
  7. Conduct research and development of best practices in the industry on multiple aspects of the business and its operations.
  8. Provide internal coordination and assistance in corporate information disclosure to ensure accuracy, completeness, timeliness, and fairness.
  9. Coordinate with all internal and external parties as may be delegated by the Board or the Board Committees.
  10. Assist in the continuous development of internal corporate governance and disclosure management policies.

II. Qualifications

Education

  • Bachelor's degree or above, preferably in Finance, Accounting, Economics, or Business Administration;

  • Professional qualifications such as MBA, CPA or CFA are preferred.

Experience

  • At least 5 years of relevant experience in Board operations, Legal, Investor Relations, or Regulatory Affairs roles.

  • Familiarity with the relevant rules and regulations governing publicly-listed companies.

Professional Skills

  • In-depth understanding of corporate governance and disclosure regulations

  • Excellent writing skills and proficiency in drafting formal documents and reports

  • Strong communication and cross-department coordination abilities

III. Preferred Qualifications

  • Previous experience in Board operations, Legal, Investor Relations, or Regulatory Affairs roles in a listed or pre-IPO company.

  • Direct involvement in capital market activities such as IPO, refinancing, or mergers & acquisitions.

  • Work experience with regulators, investment banks, securities firms, law firms, or accounting firms
