Corporate Lawyer

Position Overview

The Corporate Lawyer will provide expert legal counsel on corporate, labor, and regulatory matters in compliance with Philippine laws. This role involves ensuring that the organization operates within the legal framework of the Philippines, mitigating legal risks, drafting and reviewing legal documents, and representing the company before government agencies, tribunals, and courts when necessary. The lawyer will work closely with the President and ManCom to support strategic decisions with sound legal advice.

Key Responsibilities

1. Corporate and Regulatory Compliance

• Ensure the company's compliance with all applicable Philippine laws, including the Corporation Code, Labor Code, Data Privacy Act, Tax Code, and other relevant regulations.
• Draft, review, and update corporate policies, governance documents, and internal compliance manuals.
• Coordinate and liaise with government agencies but not limited to SEC, DOLE, BIR, LGUs, and DTI for regulatory requirements, filings, and permits to avoid liabilities, and maintain corporate standing.
• Maintain corporate records and oversee the legal aspects of annual reports, general meetings, and board resolutions.

2. Labor and Employment Law

• Advise management on all matters related to Philippine labor law, including employment contracts, terminations, disciplinary actions, and labor standards compliance.
• Represent the company in labor disputes, grievances, and proceedings before the National Labor Relations Commission (NLRC), DOLE, or other quasi-judicial bodies.
• Provide proactive guidance on employee relations and workplace policies.
• Conduct training sessions for HR and line managers on labor law compliance and risk management.

3. Contracts and Transactions

• Draft, review, and negotiate a wide range of contracts, including supplier agreements, service contracts, lease agreements, joint ventures, and confidentiality agreements.
• Ensure all contractual terms protect the company's interests and comply with applicable laws.
• Support due diligence and contract management for mergers, acquisitions, or new business ventures.

4. Risk Management and Litigation

• Identify potential legal risks and propose mitigation strategies to the President/CEO and management team.
• Handle or coordinate with external counsel on litigation, arbitration, or administrative cases involving the company.
• Maintain a database of ongoing legal matters and report on their progress to the President regularly.

5. Advisory and Strategic Support

• Provide the President/CEO with timely legal opinions on corporate strategies, partnerships, and business decisions.
• Participate in executive meetings to ensure that all strategic initiatives comply with local laws and ethical standards.
• Draft memoranda and position papers on critical legal issues affecting the company.

Qualifications

Education:

• Bachelor of Laws (LLB) or Juris Doctor (JD) degree holder from a recognized Philippine law school and has passed the Philippine Bar Examination.

Experience:

• Minimum 5–8 years of solid legal experience, preferably in a corporate or labor law setting.
• Prior in-house counsel experience in a medium-to-large corporation is highly desirable.
• Strong background in labor relations, compliance, and corporate governance.

Knowledge, Skills, and Abilities:

• Excellent knowledge of Philippine corporate and labor laws.
• Strong drafting, negotiation, and analytical skills.
• Exceptional communication and presentation abilities (both written and verbal).
• High integrity, discretion, and sound judgment in handling confidential matters.
• Ability to work independently while providing clear and practical legal advice.
• Strong interpersonal skills to collaborate effectively with HR, Finance, and Operations teams.
