Job Summary:

We are seeking a highly skilled and experienced Senior Corporate Secretary Specialist to join the Filinvest Group. As a key member of our team, you will be responsible for providing expert corporate secretarial services, ensuring compliance with regulatory requirements, and supporting the development of best practices in corporate governance.

About the Role:

The Senior Corporate Secretary Specialist will have primary responsibility for assisting the Corporate Secretary in preparing documentation related to corporate housekeeping matters, including Board Resolutions and Secretary's Certificates. Additionally, they will work closely with the Compliance Officer to monitor issuances from relevant government agencies and implement necessary actions. The role also involves preparing and submitting reportorial requirements to regulatory bodies such as the Securities and Exchange Commission, Philippine Stock Exchange, Anti-Money Laundering Council, Data Privacy Commission, and Philippine Competition Commission.

Responsibilities:

  • Corporate Secretarial Services (70%):
  • Prepare appropriate Board Resolutions and/or Secretary's Certificates required on any given transaction.
  • Prepare relevant materials for stockholders, board, and committee meetings.
  • Attend stockholders, board, and committee meetings and prepare minutes of the points discussed.
  • Draft and review charter documents of new corporations or amendments to existing ones, such as increases in capitalization or changes of addresses.
  • Compliance (30%):
  • Assist the Compliance Officer in monitoring issuances of relevant government agencies and implementing necessary actions, which may include drafting memos, transactional documents, and other related tasks.
  • Monitor developments in corporate governance best practices and coordinate with the Compliance Officer to adopt these practices.
  • Prepare and submit reportorial requirements to regulatory bodies such as the Securities and Exchange Commission, Philippine Stock Exchange, Anti-Money Laundering Council, Data Privacy Commission, and Philippine Competition Commission.
  • Represent the Corporation before the regulatory agencies concerned.

Requirements:

To succeed in this role, you should have a bachelor's degree in Law or a related field, along with at least 3 years of experience in corporate secretarial services. You should possess excellent communication and organizational skills, as well as proficiency in MS Office, particularly Word and Excel. Knowledge of securities laws and regulations is highly desirable.

Compensation:

We offer a competitive salary range of PHP 80,000 - PHP 120,000 per month, commensurate with experience. Benefits include health insurance, retirement plans, and opportunities for professional growth and development.
