Main Duties and Responsibilities:

The Legal Counsel shall work with the Head of Special Projects and Litigation and the Head of Legal and Compliance Department in handling special projects and litigation for the Company. Special Projects may include cross border transactions with foreign jurisdictions in areas of mergers and acquisition of assets, fund raising, private placement, public offering, corporate negotiations, debt capital markets, gaming and leisure development, purchase of personal and real properties and businesses, and other regulatory compliance of the company. Litigation may include all matters involving potential and pending litigation involving the Company and its subsidiaries and affiliates in various courts and tribunals.

Qualifications:

  • Juris Doctor Graduate
  • 1-6 years of experience in law practice

Duties and Responsibilities:

Special Projects:

1. Conduct due diligence reviews for mergers and acquisitions, analysis, and legal assessment and evaluation of special projects or new projects for future developments proposed to be undertaken by the Company, such as, but not limited to, mergers and acquisition, fund raising, private placement, public offering, corporate negotiations, debt capital markets, and gaming and leisure development.

2. Renders legal advice for cross-border and international business transactions for the protection of the Company's rights and interests.

3. Assist the Head of Special Projects and Litigation in recommending company legal strategy, policy, and course of action.

4. Assist the Head of Special Projects and Litigation in all other related duties to implement the special projects as may be assigned from time to time.

Preventive and Actual Litigation:

1. Represent the Company in cases pending before courts and tribunals and ensuring that the best interest of the Company is preserved at all times.

2. Advocate preventive litigation.

3. Recommend to the Head of Special Projects and Litigation and Human Resources Department the appropriate legal strategy in actual litigation, dispute or conflict resolution.

4. Assist concerned departments in responding to or attending to incidents that may result to actual litigation.

5. Reviews letters and/or correspondences to courts or government entities, as may be necessary to prevent litigation or resolve litigious matters.

6. Undertake legislative initiatives on potentially litigious matters that may have a significant impact on the business operations of the Company.

7. Monitor and oversee the implementation of the correct and necessary processes for handling grievances and complaints raised for or against the Company

Legal Compliance

1. Assist the Head of Special Projects and Litigation in ensuring the Company's compliance with relevant laws.

Legal Strategy

1. Assist the Head of Special Projects and Litigation and Human Resources Department in recommending the appropriate legal strategy, policy, and course of action in all areas under Special Projects and Litigation.

1. Render legal advice or opinion as requested that is well researched, properly written, aptly supported by law and jurisprudence.

Legal Update

1. Conduct continuing legal research which is timely made;

2. Apprise management and staff on new relevant legal and jurisprudential developments most likely to affect the operations of the Company.

Others

1. Perform all other related duties as may be assigned by the Head of Legal & Compliance from time to time.
