HR SERVICE AGREEMENTThis HR Service Agreement ("Agreement") is made and entered into on this ___ day of __________, 2025, by and between:Beyond Beauty Skin and Aesthetic Clinic, with principal office located at 2F SkyPlaza Building 2, 1476 Victoneta Avenue, Malabon, Metro Manila, represented herein by Dr. Bernadette Lim (hereinafter referred to as the "Company"),andMs. Caira Chayle Clemente, with address at Barangay Sto. Tomas, Biñan City, Laguna, (hereinafter referred to as the "Consultant" Scope of ServicesThe Consultant agrees to provide human resource recruitment and placement services for the Company for one (1) technical role intended for a full-time position.The Consultant shall be responsible for sourcing, screening, and endorsing qualified candidates in accordance with the qualifications and requirements provided by the Company.The Consultant's involvement shall end upon the issuance and acceptance of an Offer Letter to the selected candidate.---2. DurationThis Agreement shall take effect immediately upon signing and remain valid for thirty (30) calendar days, or until the successful hiring of the identified role, whichever comes first.If the Consultant fails to provide qualified candidates within the said period, the Agreement shall automatically terminate without further obligation from either party.---3. Professional Fee and Payment TermsThe Company agrees to pay the Consultant a service fee equivalent to fifteen percent (15%) of the candidate's offered monthly salary.Full payment shall be made on the same day the selected candidate accepts the Offer Letter, and must be deposited directly to the Consultant's designated bank account.---4. ExclusivityDuring the effectivity of this Agreement, the Company shall not engage or authorize any other recruiter, consultant, or agency for the same role covered under this engagement.---5. Cancellation and TerminationThe Company may not cancel this Agreement within the thirty (30)-day period unless agreed upon in writing by both parties.Should the Company decide to terminate the engagement while the hiring process is ongoing, the Company shall pay fifty percent (50%) of the agreed service fee as compensation for time and effort rendered.The Agreement automatically terminates once the selected candidate signs and accepts the Offer Letter, and the Consultant has received full payment.---6. ConfidentialityBoth parties agree to maintain strict confidentiality regarding all information, candidate profiles, and internal company data obtained during the course of this Agreement. No such information shall be disclosed to any third party without prior written consent.---7. Entire AgreementThis document constitutes the entire understanding between the parties and supersedes any prior discussions, proposals, or agreements, whether written or oral.
