Job Description:

The Senior Counsel - Compliance and Risk Management will be responsible for ensuring compliance with all relevant laws and regulations, managing legal risks, and providing strategic legal counsel to the executive team.

Responsibilities:

  1. Compliance: Monitor changes in laws and regulations affecting accounting practices and ensure the firm's compliance with relevant statutes, regulations, and industry standards.
  2. Government Liaising: Establish effective communication lines and relationships with government agencies and instrumentalities.
  3. Corporate Housekeeping: Provide centralized oversight of the organization's ethics and compliance efforts.
  4. Risk Management: Identify and assess legal risks associated with the firm's operations and develop strategies to mitigate these effectively.
  5. Contract Management: Oversee the drafting, negotiation, and review of contracts with clients, vendors, and partners.
  6. Litigation Management: Manage any legal disputes or litigation involving the firm.
  7. Corporate Governance: Provide guidance on corporate governance matters.
  8. Mergers and Acquisitions: Provide legal support for mergers, acquisitions, and other strategic transactions.
  9. Internal Legal Advice: Provide sound legal advice and guidance to stakeholders.
  10. Training and Education: Develop and deliver training programs on legal and compliance topics.
  11. Policy Formulation and Implementation: Lead in the formulation and implementation of policies and procedures.

Requirements:

  1. Juris Doctor (JD) degree from a reputable law school. Being a CPA Lawyer is an advantage.
  2. Member in good standing of the Philippine Bar.
  3. At least 5 years of experience in leading a legal department/division with a focus on corporate, labor, and tax law.
  4. Excellent analytical, problem-solving, decision-making, and critical thinking skills.
  5. Exceptional and effective written and verbal communication skills.
  6. Ability to work effectively in a fast-paced, dynamic environment and manage multiple priorities simultaneously.
  7. Commitment to upholding the highest standards of integrity, ethics, and professionalism.
