The primary focus of this position will be on crafting strategies and terms for Power Purchase Agreements (PPAs), Power Supply Agreements (PSAs), and Retail Electricity Supply Contracts (RESCs). This involves ensuring that all agreements comply with relevant regulatory frameworks and align with the company's commercial strategy, risk management objectives, and regulatory requirements.

In addition to contract drafting and negotiation, you will develop a comprehensive database of policies and regulations from the Energy Regulatory Commission (ERC) and other key agencies. You will also support bidding processes and offer strategic legal advice to senior management on regulatory trends, risk exposure, and strategic opportunities in energy markets.

Key Responsibilities:
  1. Contract Drafting and Negotiation:
    1. Craft and review Power Purchase Agreements (PPAs), including Power Supply Agreements (PSAs) & Retail Electricity Supply Contracts (RESCs), ensuring optimal terms for the company while maintaining compliance with local regulations.
    2. Develop legally sound PSAs and RESCs, assisting in customer switching from enrollment in a distribution utility to a customer under Retail Competition and Open Access (RCOA) or Green Energy Option Program (GEOP).
    3. Lead or assist in negotiations of high-value energy contracts with corporate clients, utilities, and government entities, ensuring favorable terms, including tariff structures, risk mitigation, and dispute resolution clauses.
  2. Regulatory Compliance and Policy Management:
    1. Create and maintain a comprehensive database of regulations, policies, and updates from the Energy Regulatory Commission (ERC), Department of Energy (DOE), and other relevant regulatory bodies.
    2. Stay updated on legislative changes and new rulings affecting the renewable energy sector, providing strategic insights to ensure the company remains compliant.
    3. Assist in obtaining necessary permits and approvals from regulatory bodies for the construction and operation of power plants.
    4. Serve as a legal liaison with regulatory agencies, ensuring alignment of business operations with government policies and advocating for favorable regulatory outcomes when needed.
  3. Legal Support for Bidding Processes:
    1. Review and provide legal input on bid submissions for energy projects and power procurement tenders, ensuring that they meet all legal and regulatory requirements.
    2. Ensure that all bidding processes are conducted transparently and in compliance with relevant legal standards.
    3. Conduct legal risk assessments for participation in tenders and bids, advising management on potential legal and regulatory risks.
  4. Corporate Governance and Internal Compliance:
    1. Assist in departmental efforts to develop internal legal frameworks that guide company policies, especially around project development, construction, and operation of renewable energy assets.
  5. Legal Advisory and Strategy Development:
    1. Provide ongoing legal advice to senior management on regulatory trends, risk exposure, and strategic opportunities in energy markets.
    2. Offer legal guidance on project financing, ensuring that loan agreements, equity investments, and related documents align with the company's goals and legal obligations.
    3. Collaborate with cross-functional teams (finance, engineering, operations) to integrate legal considerations into business strategy, project development, and operations.
