Key Responsibilities:

  • Corporate Governance & Compliance: Ensure compliance with corporate governance laws, holding company structures, and intercompany agreements. Oversee Corporate Secretary functions, including board resolutions, shareholder meetings, SEC filings, and statutory disclosures.
  • Employment Law & Employee Relations: Advise on multi-jurisdictional labor laws, employment contracts, and workplace regulations. Provide legal guidance on workplace investigations, terminations, and disciplinary actions to ensure compliance.

Requirements:

  • Juris Doctor (JD) or equivalent law degree from an accredited institution, with active bar admission in the relevant jurisdiction.
  • Minimum of 10 years of legal experience, including at least 5 years in a leadership or high-level advisory role.
  • Expertise in corporate governance, regulatory compliance, labor law, and commercial transactions.
  • Proven experience in M&A, foreign investment regulations, and cross-border legal matters.
  • Background in corporate secretarial functions (Cor Sec) and holding company structures.
  • Strong skills in contract negotiation, dispute resolution, and legal risk management.
  • Ability to balance legal oversight with business objectives.
