Overview Sr Consultant Corp Affairs role at Northern Trust. This position reports to the Chief Executive Officer and focuses on corporate governance, statutory obligations, global standards, and regulatory compliance. Responsibilities Lead governance of the legal entity’s statutory obligations, administer the Manila Statutory Compliance Council Review, interpret, and communicate current and new statutory rules, laws, and regulations in line with corporate standards Provide guidance to management on local statutory, legal, and regulatory matters impacting NOSAI Develop strategies and lead projects related to corporate governance and compliance; support LE Administration within LE Governance and Compliance Organize materials for board and stockholders\' meetings; may act as assistant corporate secretary or corporate secretary Coordinate information flow with directors and executive officers, including board presentations Ensure required board meetings are properly called, held, and recorded Oversee compliance programs covering significant rules, statutes, and regulations Act as a consultant on stock plans and liaise with the transfer agent regarding stock plans and dividends Prepare reports and administer programs to ensure compliance with significant rules, statutes, and regulations Coordinate production of records for litigation or audits involving NOSAI Certify corporate documents as needed Lead special or strategic projects related to legal entity administration and regulatory compliance Interact with senior management on high-profile activities Review corporate governance and regulatory documents in collaboration with legal group Act as outsourcing manager for inter-company services and vendor management on legal services with external counsel Represent the entity in industry and government forums on statutory obligations and legislation Review work of others on governance, audit, legal, statutory, and regulatory requirements Coordinate vendor engagements and outsourcing related to legal services Knowledge and Skills Strong understanding of legal terminology, statutory and regulatory frameworks, corporate governance, board proceedings, and stock issuances Knowledge of relevant statutory rules and regulations; experience in risk and compliance Project management skills Excellent oral and written communication Strong stakeholder management Ability to liaise with regulatory bodies and explain complex information to build consensus Experience Minimum five years in legal, paralegal, corporate governance, statutory compliance, risk, or regulatory roles Experience within financial services and liaising with statutory or regulatory bodies Working With Us As a Northern Trust partner, you will be part of a flexible and collaborative work culture in an organization committed to stability and community impact.
