Sr. Lawyer

MAJOR RESPONSIBILITES AND EXPECTATIONS:

The position will ensure that operates in a legal and ethical manner in pursuit of its business goals. This shall be achieved through the development of legal and risk reviews, and compliance programs including review of company policies and advising management on possible risks and opportunities therein.

Legal and Risk Reviews (50%)

The role shall:

· Advise Executives and/or Board/Senior Management on matters pertaining to legal rights and new or existing laws affecting the Group.

· Own the risk-management processes in the Group and work closely with the Executives on bi-annual updates of the Group's risk-management platform and risks.

· Ensure a robust framework of agreements underpin key Group activities.

· Conduct legal research and review the company's litigation strategy related to legal actions taken by or against the Group.

· Recommend directives for corporate acts and decisions.

· Maintain complete and compliant records for all corporate matters (i.e. Sec Certs, Board Resolutions, AOIs, etc.)

Compliance (50%)

The role shall:

· Ensure compliance with all Republic Acts, Court rulings, Implementing Rules and Regulations, Circulars applicable and other instructions issued by government- and

trade-bodies

· Develop a compliance handbook to be implemented company-wide and ensure that this is kept up to date and properly cascaded to all relevant parties in the organization.

· Create annual audit plans and conduct spot checks on statutory matters periodically to ensure compliance at all times. Ensure reporting to ManCom on a quarterly basis on

findings.

· Collaborate with all sections to determine possible weak spots in statutory compliance and jointly recommend solutions and monitor their implementation.

· In depth knowledge in License renewal of DMW.

The incumbent must have sound knowledge and understanding of applicable laws and regulations, and the ability to make prudent legal decisions. A team player, highly analytical and possesses excellent written and verbal communication skills. Should also be fluent in risk management, with a proficient understanding of business sensitivities and confidentiality.

An understanding of Corporate Structures and their impact on performance both legally and financially, is expected.

Role is part of ManCom, exposure to the Board of Directors is to be expected.
Will report functionally to Legal Head of PTC Group and Administratively to the Chief Operating Officer/Cluster Head.

With 5-10 years of exp. as Lawyer, With exp. In manning is an advantage
